Complete Ministry of Corporate Affairs (MCA) incorporation and filings

Establishing a commercial business in India begins with selecting the appropriate corporate structure under the Companies Act 2013 or relevant partnership frameworks. While a Private Limited Company remains the preferred structure for enterprises seeking institutional venture capital or bank financing, closely-held corporate structures offer distinct governance efficiencies for professional service firms and asset-holding partnerships.

After choosing a business structure, ask your company secretary or legal adviser for an entity-specific filing and approval calendar. Record the current deadlines, responsible person and proof of submission. Keep incorporation records, resolutions and banking arrangements together in a controlled folder. The steps for a company are not identical to those for another business structure, so avoid copying an undated startup checklist into an operating plan.

Obtain indirect tax, MSME and municipal trade registrations

Ask a qualified tax adviser to establish the registration and return requirements for the actual business. Supply the entity type, activities, turnover expectations, customer locations and proposed sales channels. Registration thresholds, exceptions and filing arrangements can depend on those facts. Keep the advice with the assumptions it uses and review it when the business opens a new location or changes how it sells.

If considering Udyam registration or another business-support scheme, check current eligibility on the official portal. Separate potential benefits from obligations and record what evidence is needed. A registration should not be described as a guarantee of payment, funding or a successful dispute outcome. Ask the adviser to explain the conditions that matter to the business before relying on a benefit in a cash-flow forecast.

Comply with Indian labor laws, EPFO, ESIC and POSH mandates

Prepare an employment compliance review before hiring. Give advisers the proposed roles, work locations, establishment type and employment arrangements, and ask them to confirm current wage, benefits, record-keeping and workplace requirements. Keep the resulting responsibility list with the payroll process. Rules and implementation arrangements can change; generic headcount thresholds from an old article are not a reliable substitute for a current assessment.

Assign responsibility for workplace conduct policies, reporting routes and appropriate training. People should know where to raise a concern and how it will be handled without unnecessary disclosure. Have the relevant specialist confirm the committee, reporting and other arrangements applicable to the establishment. Review whether those arrangements work in practice, including for employees based at customer premises or working across several locations.

Review brand ownership and personal information

Review how the business uses its name, designs, software and third-party material. Discuss appropriate searches, registrations, licences and ownership terms with an intellectual-property adviser. Do not assume that incorporation or a domain purchase resolves brand ownership. Keep records of permissions and supplier handovers so the business can explain what it owns and what it is licensed to use.

Build a simple record of the personal information the business collects and why it is needed. Identify the people and suppliers that can access it, the retention period and the process for questions or incidents. Ask qualified advisers to confirm which current privacy provisions and commencement dates apply. A published privacy policy is one part of that work, not proof that every processing activity is compliant.

Statutory corporate compliance checklist

  • Confirm the business structure and activities with qualified advisers.
  • Create an entity-specific filing and permission calendar.
  • Assess tax registration and return requirements for the actual operation.
  • Record employment and workplace responsibilities under current applicable rules.
  • Review brand ownership, licences and personal-information handling.
  • Assign an owner and evidence source to each recurring task.

For a conversation about an initial compliance discussion, share the entity structure, activities and places where the business will operate. Include the decision you need to make, the person who can approve it and any date that genuinely constrains the work. A short brief with unresolved questions clearly marked is useful; there is no need to send confidential records or a finished specification just to start the discussion.
