Understand the core principles of Turnkey and EPC contracting
Turnkey contracts—frequently structured as Engineering, Procurement and Construction (EPC) agreements—have become the preferred procurement model for Indian public infrastructure, healthcare campuses, water supply networks and energy installations. Unlike traditional item-rate contracts where the government department designs the project and manages dozens of trade vendors, turnkey contracts assign single-point responsibility to the master contractor.
In a turnkey contract, the contractor is legally and commercially responsible for delivering a fully operational facility that meets specified performance parameters upon handover. The government department provides the site land, defines technical performance specifications and commits to fixed contract pricing, transferring design, procurement and construction integration risks to the contractor.
Evaluate risk allocation: price escalation, site conditions and clearances
While turnkey contracting simplifies management for government clients, it transfers substantial risk to the EPC contractor. Turnkey contracts in India frequently feature lump-sum fixed pricing models where contractors must absorb fluctuations in raw material prices (such as steel, cement and fuel) unless explicit price-variation clauses (PVC) are negotiated.
Conduct exhaustive due diligence before executing turnkey agreements. Investigate subsurface geotechnical conditions, verify availability of unencumbered Right of Way (RoW), confirm environmental clearance statuses, and verify access to water and high-tension electrical utilities. Bidding on turnkey contracts without factoring in local site risks leads to severe margin erosion and contractual disputes.
Manage testing, commissioning and Defect Liability Periods (DLP)
The critical phase in a turnkey contract is the transition from construction completion to formal government acceptance. Handover is not achieved merely by finishing physical construction; the contractor must execute practical performance testing and commissioning under live operational conditions.
Plan commissioning against the contract's actual acceptance tests and witness requirements. Record results, open defects and the authority responsible for accepting the asset. Confirm the defect-liability and warranty terms in the agreement rather than assuming a standard duration. Handover should leave the operating team with clear responsibilities, access to documentation and a way to raise faults after acceptance.
Execute structured operations handover and asset documentation
A successful turnkey handover requires transferring institutional operating capabilities to the client department. Many public facilities experience rapid operational degradation post-commissioning because departmental staff were never trained to operate modern automation and control systems.
Provide practical 'As-Built' engineering drawings, detailed Operation and Maintenance (O&M) manuals, warranty certificates for all installed equipment and certified spare parts inventories. Conduct structured operational training programs for government engineers and facility technicians, ensuring the facility operates smoothly from day one of public commissioning.
Turnkey and EPC government contract execution checklist
- Conduct practical geotechnical and site encumbrance due diligence prior to lump-sum bidding.
- Confirm the applicable privacy, data-location and sector requirements with the responsible advisers.
- Establish clear performance guarantee metrics and structured trial-run commissioning protocols.
- Maintain structured risk reserves to support Defect Liability Period (DLP) rectification obligations.
- Compile complete As-Built drawings, O&M manuals, warranty archives and spare parts inventories.
- Execute structured operational training programs for client departmental engineering teams.
For a conversation about a turnkey delivery scope, share the performance requirement, site responsibilities and acceptance tests. Include the decision you need to make, the person who can approve it and any date that genuinely constrains the work. A short brief with unresolved questions clearly marked is useful; there is no need to send confidential records or a finished specification just to start the discussion.
